Targus US Map Price List – Exhibit A

Effective: September 10, 2017

In order to encourage our distributors and resellers to promote and invest in the marketing and sales of Targus Rugged Tablet Cases (the “Covered Products”), and to promote the perceived quality and value of the Covered Products, Targus is implementing a Minimum Advertised Price (“MAP”) Policy for the Covered Products. This MAP Policy is designed to ensure that all Targus resellers (“Resellers”) advertise prices that reflect the advice, service, knowledge and support Targus expects its Resellers to provide to consumers in order to maintain a high level of customer satisfaction. Targus intends to sell the Covered Products only to Resellers that do not advertise Covered Products below the Minimum Advertised Price set forth in this policy. Targus may enforce this policy through action up to and including refusing to sell products, and instructing distributors not to sell products, to Resellers that advertise any Covered Product below the stated Minimum Advertised Price described below.

Accordingly, all advertisements by Targus Resellers regarding Rugged Tablet Case products listed on the attached Exhibit A inside the United States are subject to this MAP Policy.

The MAP Policy: To comply with this MAP Policy, Targus Resellers shall advertise at or above the Minimum Advertised Price ("MAP") for Rugged Tablet Cases shownon Exhibit A . Typically, the MAP Price shown on Exhibit A is five percent (5%) below the Suggested Retail Price ("SRP"). Advertising Covered Products at prices below the Minimum Advertised Price violates the MAP Policy. For purposes of the MAP Policy, the following applies –

The term “advertisement” includes, but is not limited to, any communication of price through any media, including newspapers, magazines, billboards, catalogs, brochures, direct mail, mass emails, television, radio, online advertisements, online price listings, flyers, circulars,  forums, and dealer internet sites or any other method which uses the hypertext transfer protocol (“http”) or any internal link to a web-based shopping cart, or  any  other means  of  communication.

This MAP Policy does not restrict the Reseller’s right to establish the price at which it actually sells Covered Products, just the advertising of such prices. Targus reserves the right to determine whether a Reseller has advertised Covered Products at a net advertised price less than the minimum price established in this MAP Policy.

Upon such determination, Targus may, without assuming any liability, stop supplying product to any Reseller found in violation of this MAP Policy.

Targus reserves the right to alter, modify, suspend, or cancel this MAP Policy, the products covered, and/or the minimum advertised prices at any time.

Regarding Targus's Minimum Advertised Price ("MAP") Policy
For Rugged Tablet Cases (the "Covered Products")
(United States Only)

Does this MAP Policy apply to all Targus products?
No. This MAP Policy currently applies only to Rugged Cases (the "Covered Products") listed on the Exhibit A.
Can I expect Targus to change the MAP Policy?
Targus expects to make future changes to the Covered Products under the MAP Policy and to the MAP Policy prices associated with Covered Products.
Where can I obtain information on MAP Policy changes, updates or suspensions or limitations of the MAP Policy?
Any changes to the Covered Products, updates to the MAP Policy, and suspensions or modifications of the MAP Policy will be posted on the designated Targus website (currently Any Reseller of Targus products may also contact their Targus representatives for information on the MAP Policy. Targus does not expect to send individual notices to Resellers in every instance of changes to the MAP Policy, changes to the list of Covered Products, or suspensions or modifications of the MAP Policy.
What if Resellers disagree with the MAP Policy or do not agree to abide by it?
Resellers are not required to agree to the MAP Policy. In fact, the MAP Policy is not an agreement between Targus and any Reseller at all. Rather, the MAP Policy is a unilateral directive by Targus to Resellers of Covered Products. The purpose of these FAQs are to inform Targus Resellers that there may be consequences for deviating from the published MAPs of Covered Products.
What will happen if a Reseller violates the MAP Policy for Covered Products?
Targus will evaluate violations of the MAP Policy on an individual basis, but Targus expects to deal only with Resellers who abide by the MAP Policy. Targus may refuse to sell Covered Products to Resellers who violate the MAP Policy indefinitely, or for a shorter time at Targus's sole discretion.
Does the MAP Policy prohibit free or discounted delivery?
No. Resellers are free to offer discounted delivery of Covered Products without violating Targus's MAP Policy.
Does the MAP Policy prohibit Resellers from selling Covered Products below the MAP prices?
No. Resellers are free to resell Covered Products at any price. The MAP Policy solely requires Resellers to refrain from advertising prices that are below the MAP for Covered Products.
Do "drop in cart" or "call for pricing" advertisements violate the MAP Policy?
No. Advertisements and offers to sell that do not include a particular price do not violate the MAP Policy.
